Archax now has a regulated route into US securities distribution, entering the market without recreating its exchange, custody and clearing stack. The digital asset firm will operate as an introducing broker, relying on tZERO for the underlying US infrastructure.The Financial Industry Regulatory Authority (FINRA) approved the New Member Application of Archax Markets LLC, completing the US subsidiary’s registration as a broker-dealer with the Securities and Exchange Commission.The registration allows the unit to offer private placements of traditional and digital securities, including tokenised real-world assets, to US institutional and accredited investors. Archax expects to begin operating in the third quarter of 2026, according to the companies’ announcement.tZERO Provides the US Market InfrastructureArchax will manage client relationships and distribute the securities. Under the arrangement, tZERO Securities and tZERO Digital Asset Securities will provide correspondent clearing, custody of digital asset securities and escrow services. Eligible instruments may also be traded on tZERO Securities’ alternative trading system.The arrangement gives Archax a regulated US entry point without requiring it to operate its own American ATS or build separate clearing and digital securities custody businesses.However, secondary trading is not automatic. It will depend on the structure of each issuance, its investor and transfer restrictions, and whether the security is admitted to the tZERO ATS.A Route for Non-US Private PlacementsArchax Markets’ registration also permits it to act as the required US broker-dealer for certain private placements by non-US broker-dealers to qualifying US institutional investors under SEC Rule 15a-6.In such transactions, the registered US broker-dealer assumes the responsibilities for participation and recordkeeping. The permission could therefore provide a regulated distribution route between Archax’s UK and European operations and eligible US investors.The approval extends Archax’s regulatory presence beyond its FCA-regulated UK business and its Spanish investment firm supervised by the CNMV.It comes about 17 months after Archax announced plans to acquire Globacap’s US broker-dealer and ATS.
