(Oil & Gas 360) – Ovintiv announced Monday that it has agreed to acquire Canadian oil and gas producer Logan Energy Corp. in an all-cash transaction valued at approximately $890 million (1.26 billion Canadian dollars), including expected net debt, expanding its position in the oil-rich Montney formation of western Canada.Under the agreement, Logan shareholders will receive approximately $0.99 (1.40 Canadian dollars) per share. The acquisition is expected to close early in the first quarter of 2027, subject to shareholder, court, and regulatory approvals. The transaction would add approximately 266,000 net acres and 20,000 barrels of oil equivalent per day of production, including 7,000 barrels per day of oil and condensate, 70 million cubic feet per day of natural gas, and 1,000 barrels per day of other natural gas liquids.Ovintiv expects the acquisition to increase its core Montney acreage to approximately 720,000 net acres, strengthening its development opportunities in one of North America’s major unconventional producing regions. The acquired properties include approximately 420 net drilling locations normalized to 10,000-foot wells, with 220 classified by Ovintiv as premium-return opportunities. The company defines those locations as capable of generating internal rates of return exceeding 35% at West Texas Intermediate oil prices of $55 per barrel and natural gas prices of $2.75 per million British thermal units. The assets are concentrated in the Simonette and Pouce Coupe areas, near Ovintiv’s existing operations, creating opportunities to integrate drilling programs and production infrastructure.Logan also owns two recently constructed oil processing facilities with combined capacity of 24,000 barrels per day, along with ownership interests in two natural gas processing facilities.Ovintiv expects approximately $60 million in annual cost savings through reduced drilling expenses, production efficiencies, and lower overhead.Capital savings are projected to exceed $2 million per well across the acquired properties. The acquisition reflects continued consolidation in Canada’s Montney formation as producers seek larger operating footprints, longer drilling inventories, and improved capital efficiency. For investors, the transaction’s value will depend on whether Ovintiv can integrate the acquired assets and achieve its projected cost reductions while maintaining competitive development returns.Management expects the acquisition to increase non-GAAP cash flow per share by approximately 5% and non-GAAP free cash flow per share by 3% in 2027.The company plans to finance the purchase through available cash, credit facility borrowings, and commercial paper.Ovintiv expects net debt to remain below $4 billion following completion and reaffirmed its commitment to return at least 60% of 2026 non-GAAP free cash flow to shareholders. As part of the agreement, certain Logan assets outside the Montney and Duvernay formations will be separated into a new company owned by Logan shareholders.Looking ahead, investors will be monitoring regulatory approvals, integration costs, production performance, and the realization of projected savings. The proposed acquisition expands Ovintiv’s development inventory while reinforcing the importance of operational scale and capital discipline in North American unconventional oil and gas production.Disclaimer This informational, opinion, and insights article is provided for informational purposes only and does not constitute investment, legal, or financial advice.
