But there is still no formal buy event. Why? Because the chart may be turning before Baxter’s fundamentals have stabilized. WHAT HAPPENED TO BAXTER? Baxter sells essential hospital products, infusion systems, connected-care equipment and injectable pharmaceuticals. Demand for these products is durable, but the company has suffered from operational problems, weak margins, high debt and portfolio disruption. Baxter completed the sale of its Vantive Kidney Care business in January 2025 after agreeing a $3.8 billion transaction with Carlyle. The original estimate was approximately $3 billion in net after-tax proceeds. The sale simplified the company and provided capital for debt reduction—but it did not immediately repair the remaining operations. Business quality is ORANGE: • Quality score: 1.5/3 • Return on capital: -5.39% • Margin trend: -0.30% • Current profitability: RED • Cash generation: positive but modest Valuation and debt are also ORANGE: • Value score: 2.5/6 • Cash yield: 5.67% • Business-price multiple: 10.1x • Cash-flow multiple: 49.08x • Debt-to-equity: 1.60 • Debt: approximately $9.7 billion The business-price multiple looks attractive, but the cash-flow multiple and negative reported earnings tell a different story. Baxter may appear inexpensive relative to sales or normalized earnings, but it is not obviously cheap relative to current profitability. The dividend is no longer a meaningful part of the thesis either. Baxter’s indicated annual dividend rate is now only $0.04 per share. A break below $17 would invalidate the emerging bottoming thesis.
