Paramount claims that this deal will offer more value to Warner Bros. Discovery shareholders and a smoother regulatory approval process.Paramount had warned in a letter to Warner Bros. Discovery that a deal with Netflix would likely “never close” due to regulatory issues and questioned the “fairness and adequacy” of the process.In a statement, Paramount’s Ellison said: "WBD shareholders deserve an opportunity to consider our superior all-cash offer for their shares in the entire company. Our public offer, which is on the same terms we provided to the Warner Bros. Discovery Board of Directors in private, provides superior value, and a more certain and quicker path to completion.”In its official statement, Netflix said the transaction is expected to close in 12 to 18 months. However, there are several layers to this deal that experts suggest could make it a lengthy regulatory battle. Any deal of this scale needs to go through the proper channels before it's finalized. That means a stamp of approval from federal regulators such as the Department of Justice and the Federal Trade Commission to ensure that this move doesn’t violate antitrust laws.If this deal goes through, it's estimated that this combined media giant would control roughly a third of US streaming activity, according to data from JustWatch, a platform that measures streaming engagement across US services.
